From confidential draft to public filing

Anthropic announced on June 1, 2026 that it had confidentially submitted a draft S-1. The company’s EDGAR filing index now shows that draft and every revision that followed, made public with the S-1:

Date Filing on SEC EDGAR
June 1, 2026 DRS (confidential draft registration statement)
July 13, 2026 DRS/A (amended draft)
August 10, 2026 DRS/A
September 4, 2026 DRS/A
October 1, 2026 DRS/A
October 9, 2026 DRS/A
October 26, 2026 S-1 (public registration statement)

As of November 1, 2026, the index lists no S-1 amendment after the October 26 filing.

What the S-1 says about the offering

The S-1 is a preliminary prospectus: it states that its information “is not complete and may be changed” and that the securities “may not be sold until the registration statement filed with the Securities and Exchange Commission is effective.” The cover leaves blank the number of Class A shares, the estimated price range, the underwriting discount and the proceeds.

Anthropic’s October 26 announcement repeats these points: the Nasdaq listing under “ANT”, shares and price range “not yet determined”, and a registration statement that “has not yet become effective.” It names Goldman Sachs and Morgan Stanley as the banks from which the preliminary prospectus can be requested.

Dollar figures in the business sections are also blank in this version. The prospectus summary, for example, describes revenue growing “from $0 at commercial launch in the first quarter of 2023” to an amount left blank for the three months ended September 30, 2026. The same is true of the total compute and infrastructure commitments it describes. Those amounts are left out here until a filing states them.

The S-1 does describe how Anthropic runs its compute: as “a single, fungible pool from multiple strategic partners”, using AWS Trainium, Google TPUs, NVIDIA GPUs and AMD GPUs.

Share classes and control

The S-1 describes five classes of common stock. Only Class A is being offered to the public.

Class Holder Votes Economic rights
Class A The class offered to the public in this IPO One vote per share Yes
Class N Primarily strategic business partners None, except as required by law; converts to Class A on sale to an unaffiliated third party Yes (identical to Class A)
Class F One share, held by an LLC whose initial members are Anthropic’s seven co-founders, including Dario Amodei and Daniela Amodei 50.1% of total voting power on matters submitted to stockholders generally, including electing directors other than Class T directors None
Class T Long-Term Benefit Trust Elects and removes the Class T directors, who together will be a majority of the board; no other general voting rights None
Class E Employees other than the co-founders; authorized on completion of the offering Only on certain limited matters None

Two consequences follow from the filing itself. Public Class A holders will hold a minority of the vote on general matters, because the Class F share carries 50.1%. And the board majority is chosen by the Long-Term Benefit Trust, which the S-1 describes as “an independent body of financially disinterested trustees with expertise in AI safety, national security, public policy, and social enterprise.”

The public benefit corporation

As a Delaware public benefit corporation, Anthropic says it is required to balance “the pecuniary interests of our stockholders, the best interests of those materially affected by our conduct, and the specific public benefit purpose” in its charter: “the responsible development and maintenance of advanced AI for the long-term benefit of humanity.” The trust was first described by Anthropic in September 2023.

What happens next

Two steps are set by rules and documents rather than by forecasts.

  • Road show timing. Under the SEC’s draft registration procedures, a company that used confidential review must publicly file its registration statement and drafts at least 15 days before any road show. Counting from the October 26 public filing, the earliest date that rule allows is November 10, 2026. Anthropic has not announced a road show date.
  • Effectiveness. The S-1 says the sale to the public will begin “as soon as practicable after this registration statement becomes effective.” Until then, the filing states, the shares may not be sold and offers to buy may not be accepted.

Any change, such as a filled-in price range, will appear as a new filing on Anthropic’s EDGAR page. The Anthropic entry in our AI companies tracker records its ownership status, and the AI companies list covers other labs and chipmakers. Anthropic’s model releases are listed in our Claude models list.
